Item 3.02. Unregistered Sales of Equity Securities.
On January 21, 2011, the Company converted, pursuant to the terms of its Class B ordinary shares, 1,540,156 of its Class B ordinary shares, par value $0.01, into an equal number of its Class A ordinary shares, par value $0.01. The Company issued the Class A ordinary shares pursuant to the exemption from the registration requirements afforded by Section 3(a)(9) of the Securities Act of 1933, as amended.
