Item 8.01  Other Events.

On January 26, 2011, RPC, Inc. issued a press release titled "RPC, Inc. Announces Increase in Quarterly Cash Dividend."  The press release announced that the Board of Directors declared a quarterly dividend of $0.07 per share, a 50 percent increase compared to the previous split-adjusted dividend.
