Item 1.01.

   Entry into a Material Definitive Agreement

On January 21, 2011, Nalco Company, a subsidiary of Nalco Holding Company, completed an agreement to sell certain intellectual property, products, customer relationships and goodwill and other assets directly relating to its Performance Products Group business to The Lubrizol Corporation. [NYSE: LZ]. The agreed purchase price for the business is $166 million. A copy of the press release announcing the sale is being furnished to the SEC as an exhibit to this form.
