Item 2.02 Results of Operations and Financial Condition
On January 20, 2011, Fidelity Southern Corporation (“Fidelity”) issued a press release
announcing its results of operations and financial condition for the quarter ended December 31,
2010. A copy of this press release is furnished as Exhibit 99.1 hereto and incorporated by
reference herein.
Item 8.01 Other Events
On January 21, 2011, Fidelity issued a press release announcing its board of directors
approved the distribution of a stock dividend on February 11, 2011 of one new share for every 200
shares held on the record date of February 1, 2011. A copy of this press release is attached
hereto as Exhibit 99.2 and incorporated by reference herein.
