Item 2.02 Results of Operations and Financial Condition.
On January 21, 2011, Watson Pharmaceuticals, Inc. (the “Company”) issued a press release providing an overview of its global operations and outlook. A copy of the Company’s press release is attached to this report as Exhibit 99.1 and incorporated herein by reference.
In its press release, the Company presented GAAP and non-GAAP financial measures (and presentations derived from these financial measures) as defined in Regulation G as promulgated by the U.S. Securities and Exchange Commission. These non-GAAP measures should not be considered replacements for GAAP results. The Company provided non-GAAP information because it believes that such data provides useful information to investors. However, investors are cautioned that, unlike financial measures prepared in accordance with GAAP, non-GAAP measures may not be comparable with the calculation of similar measures for by other companies. The Company uses both GAAP financial measures and the disclosed non-GAAP financial measures internally to evaluate and manage the Company’s operations and to better understand its business. The Company believes the use of these non-GAAP financial measures provides greater transparency to investors of supplemental information used by management in its financial and operational decision-making, including evaluation of its operating performance.
