Item 8.01 Other Events.
On January 20, 2011, Registrant issued a press release announcing that the Board of Directors of Tiffany & Co. (NYSE-TIF) has approved a new stock repurchase program. This new program, effective immediately and expiring January 31, 2013, authorizes the Company to repurchase up to $400 million of its Common Stock through open market or private transactions. All prior share repurchase authorizations have been terminated by the Board of Directors. A copy of the January 20, 2011 press release is attached hereto as Exhibit 99.1 to this Form 8-K.
