(b) By letter dated January 14, 2011, Douglas J. Huen, a director of the Registrant, resigned from the Registrant’s Board of Directors and from the Board of Directors of Sun National Bank, the Registrant’s wholly-owned subsidiary. The resignation was for personal reasons and not due to any disagreement with the Registrant on any matter relating to the Registrant’s operations, policies or practices. The resignation will become effective as of January 31, 2011.
