Item 8.01.   Other Events.

On January 18, 2011, Comerica Incorporated (“Comerica”) and Sterling Bancshares, Inc. (“Sterling”) issued a joint press release announcing the execution of an Agreement and Plan of Reorganization, dated as of January 16, 2011, by and among Comerica, Sterling and a wholly owned subsidiary of Comerica to be formed in the future (the “Merger Agreement”). The transactions contemplated by the Merger Agreement are subject to customary closing conditions, including regulatory approvals and approval from the shareholders of Sterling.

A copy of the joint press release is attached hereto as Exhibit 99.1, and is incorporated by reference herein.
