ITEM 1.01 Entry into a Material Definitive Agreement
(a) Pursuant to the letter agreement to enter into a Joint Venture Agreement to acquire certain Mining Permits for mining claims in Guyana from Trevor Taylor on October 30, 2010, Mr. Ambrose Fillis the President and CEO and Director of Amfil Technologies Inc., entered into a Joint Venture Agreement between AMFIL Technologies, Inc. and Trevor Taylor to acquire certain Mining Permits for mining claims in Guyana from Trevor Taylor, on December 24, 2010 as per the previously submitted L.O.I. The mining permits are more particularly described in the attached exhibits in the previously filed 8K (0001157523-10-007005) on November 18, 2010. AMFIL Technologies, Inc. will be engaging the services of an independent geologist to provide geological reports on these properties in order of determined priority.
