Rotech Healthcare Inc. Announces Closing of Registered Exchange Offer for Senior Secured Notes due 2015

Orlando, Florida, January 14, 2011 — Rotech Healthcare Inc. (OTCBB: ROHI.OB), one of the largest providers of home medical equipment and related products and services, announced today that it has completed its registered exchange offer to exchange up to $230 million aggregate principal amount of its Senior Secured Notes due 2015 (the “Exchange Notes”) for any and all of its outstanding Senior Secured Notes due 2015, which were issued in a private placement (the “Private Notes”).

$229.8 million in aggregate principal amount of Private Notes were exchanged in the exchange offer and were accepted by Rotech. The exchange offer expired at 5:00 p.m., New York City time, on January 10, 2011.

Rotech agreed when it issued the Private Notes to file with the Securities and Exchange Commission a registration statement under the Securities Act of 1933, as amended, relating to the exchange offer pursuant to which Rotech would offer the Exchange Notes, containing substantially identical terms to the Private Notes, in exchange for Private Notes that are tendered by the holders of those notes.

Any Private Notes not tendered for exchange in the exchange offer will remain outstanding and continue to accrue interest, but will not retain any rights under the registration rights agreement except in limited circumstances.
