Item 5.02                     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 11, 2011, Gregory E. McClain, Vice President of Business Development, notified General Moly, Inc. (the “Company”) of his intention to retire from the Company.  The retirement will become effective during the spring of 2011 on a date to be determined.  Mr. McClain intends to provide support to the Company in an advisory capacity, after his retirement on terms to be determined.
