Item 8.01 Other Events.
On January 3, 2011 the Registrant closed a private placement of 67,000 common shares at $1.50 per share for a total offering price of $100,500. The common shares were offered by the Company pursuant to an exemption from registration under Regulation S of the Securities Act of 1933, as amended. The private placement was fully subscribed to by one non-U.S. person.
