Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of January 10, 2011, Alaska Communications Systems Group, Inc., a Delaware corporation (the “Company”), appointed John Wanamaker, 41, to serve on the Company’s board of directors.  On January 5, 2011, the Company increased the size of its board of directors from seven directors to eight directors and appointed Mr. Wanamaker to fill the newly created vacant position on the board of directors.

Mr. Wanamaker will receive compensation from the Company for service on the Board on the same terms as other non-employee members of the Board.

The Company issued a press release on January 10, 2011 announcing the appointment of Mr. Wanamaker that provided relevant biographical information about Mr. Wanamaker. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
