Item 5.02                   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Vance E. Powers was appointed as Chief Financial Officer of Niska Gas Storage Partners LLC (the “Company”) effective January 1, 2011.  Mr. Powers succeeds Darin T. Olson, who continues as Vice President, Finance. Concurrently with his appointment, Mr. Powers entered into an Offer of Employment with the Company. Pursuant to the Offer of Employment, Mr. Powers will receive a base gross salary of US$220,000.00 per year, vacation pay, benefits and 401K, less applicable statutory deductions.
