Item 3.02 Unregistered Sales of Equity Securities
On January 1, 2011, we issued 250,000 shares of our common stock to a consultant for certain consulting services pursuant to an agreement dated December 27, 2010. The agreement also contemplates the issuance of an additional 250,000 shares on April 1, 2011 to the consultant, unless the agreement is terminated. The issuance of our shares was and will be made pursuant to the exemption from the registration requirements of the United States Securities Act of 1933, as amended (the “Act”), provided by Section 4(2) of the Act. The consultant acquired the shares for investment purposes and not with a view to the distribution of the shares or pursuant to a general solicitation by us.
