Item 5.02(e) Compensatory Arrangements of Certain Officers
 
On December 30, 2010, the Company amended and restated the Met-Pro Corporation Pension Restoration Plan (“the Plan”). The Plan was restated and amended so as to comply with Section 409A of the Internal Revenue Code of 1986.
