Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 31, 2010, Steven D. Hogan, a member director representing the state of Colorado, resigned as a director of the Federal Home Loan Bank of Topeka (FHLBank), effective January 1, 2011. In connection with his resignation, Mr. Hogan did not express any disagreement on any matter relating to FHLBank’s operations, policies or practices. The position previously held by Mr. Hogan has a term ending on December 31, 2013. Pursuant to the regulations of the Federal Housing Finance Agency, FHLBank’s board of directors is required to elect, by a majority vote of the remaining FHLBank directors sitting on the board, an officer or director of an FHLBank member located in the state of Colorado to fill the vacant position for the remainder of Mr. Hogan’s term.
