Item 1.01. Entry Into a Material Definitive Agreement.
On December 28, 2010, the Board of Directors of S1 Corporation (the “Company”) approved a
payment of $60,000 to Ram Gupta, a non-employee director of the Company, in recognition of his
completion of service as the Company’s representative on the Board of Directors of Yodlee, Inc.
