Item 8.01 Other Events.
Long-time director of CTI Group (Holdings) Inc. (the "Company"), Rupert Armitage, suddenly passed away in November 2010. Mr. Armitage was a valued member of the Board of Directors (the "Board") of the Company and will be missed.
On December 13, 2010, the Board of Directors reduced the size of the Board from seven to six directors. The Board also appointed Michael Reinarts to the Audit Committee and the Nominating Committee.
