On December 20, 2010, OceanFirst Bank, the subsidiary of OceanFirst Financial Corp., and John R. Garbarino, Chief Executive Officer, entered into an amendment to the Executive Supplemental Retirement Income Agreement (the “Agreement”) between OceanFirst Bank and Mr. Garbarino. The Agreement was originally effective as of May 1, 1996 and subsequently amended and restated as of January 1, 2005. The Agreement was amended to make a portion of the payments due to Mr. Garbarino contingent upon his performance, except for limited circumstances.
