On December 20, 2010, warrants to purchase 462,461 shares of common stock of the Company at an exercise price of $16.22 per share, were exercised in full for cash proceeds to the Company of $7.5 million. The warrants were originally issued by the Company on December 20, 2005 in a private placement exempt from registration pursuant to Section 4(2) of the Securities Act of 1933, as amended, in conjunction with the sale and issuance of certain convertible debentures.
