Item 1.01 Entry into a Material Definitive Agreement.

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On December 17, 2010, The Andersons, Inc. ("the Company"), as Borrower, entered into the Third Amended and Restated Loan Agreement ("the Agreement") with several financial institutions, including U.S. Bank National Association, acting as Agent. The Agreement provides the Company with $387 million of short-term borrowing capacity and $513 million of long-term borrowing capacity.

The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement which is filed as exhibit 10.44 of this Current Report.
