Item 8.01. Other Events.
 
On December 20, 2010, Cooper Tire & Rubber Company (the "Company") announced that an agreement has been reached to increase the Company’s ownership in its affiliated Mexico operations.  The Company will increase its percentage ownership position in Corporacion de Occidente SA de CV (“Occidente”) from 38 percent to 58 percent and its percentage ownership position in Cooper Tire & Rubber Company de Mexico SA de CV (“Cooper Mexico”) from 50 percent to approximately 100 percent.  The costs to increase its ownership interests in both Occidente and Cooper Mexico is currently valued at approximately $22 million.  As a result of the increased ownership position, which is currently expected to be effective January 1, 2011, Occidente and Cooper Mexico will be fully consolidated into the Company’s 2011 financial results.
