Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 15, 2010, Lewis M. Ewing, 76, director of Eagle Financial Services, Inc., announced that he will retire, effective immediately, and thus not stand for re-election at the 2011 Annual Meeting of Shareholders of Eagle Financial Services, Inc.

Mr. Ewing has served as a director since 1984 and, before his resignation, was a member of the Company’s Audit, Investment, Planning and Trust Committees. Mr. Ewing retired as the President and Chief Executive Officer of Eagle Financial Services, Inc. and President and Chief Executive Officer of the Bank in 1999. The Board of Directors expressed their sincere thanks for Mr. Ewing’s many years of dedicated service to the Bank and Company.
