Item 8.01   Other Events.
     On December 13, 2010, Compellent Technologies, Inc., a Delaware corporation (the “Compellent”) and Dell Inc. (“Dell”) announced that Dell International L.L.C., a Delaware limited liability company and a wholly-owned subsidiary of Dell, and Dell Trinity Holdings Corp., a Delaware corporation and wholly owned subsidiary of Dell International L.L.C., entered into an Agreement and Plan of Merger (the “Merger Agreement”), dated as of December 12, 2010 (the “Merger”). A copy of the joint press release announcing the execution of the Merger Agreement is attached as Exhibit 99.1 and incorporated herein by reference.
