Regulation FD Disclosure.

(b) On December 6, 2010, Healthways, Inc. (the “Company”) increased its revenue guidance range for fiscal 2010 to $717 million to $730 million from $695 million to $708 million. The Company also increased its guidance for 2010 net income per diluted share to a range of $1.36 to $1.43 from $1.12 to $1.19. A copy of the press release is attached hereto as Exhibit 99.1.
