Item 8.01 Other Events.
Erie Indemnity Company issued a press release regarding the December 7, 2010 Board of Directors meeting, where the Board approved the management fee rate charged to the Erie Insurance Exchange and an increase in shareholders' dividends. Additionally, the Board approved a continuation of the stock repurchase program to repurchase up to $150 million of the Company's outstanding Class A common stock, effective immediately, including and not in addition to any unspent amounts remaining under the current program. See the Press Release attached as Exhibit 99.1.
