Events.

On December 3,
2010, InsPro
Technologies Corporation (the “Company”) issued a press release
announcing that effective immediately it has changed its
name from Health Benefits Direct Corporation to InsPro Technologies Corporation,
that effective December 6, 2010, the Company’s trading symbol will change from
HBDT to ITCC, and finally that the Company was also assigned a new CUSIP number
(45778T 101) for its common stock. A copy of this press
release is attached hereto as Exhibit 99.1 and is incorporated herein by
reference.
