Item 7.01 Regulation FD Disclosure.
On December 2, 2010, International Lease Finance Corporation (“ILFC”) issued a press release announcing that it had priced, and entered into an agreement to issue and sell, subject to certain conditions, $1,000,000,000 aggregate principal amount of 8¼% senior notes due 2020 (the “Notes”) pursuant to an effective registration statement previously filed with the Securities and Exchange Commission. A copy of the press release announcing ILFC’s pricing of the Notes is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
This Current Report on Form 8-K does not constitute an offer to sell or the solicitation of an offer to buy the Notes, nor shall it constitute an offer, solicitation or sale in any jurisdiction in which such offer, solicitation or sale is unlawful.
