Item 8.01
Other Events.

In accordance with a previously announced public offering of 5,000,000 shares of Emeritus Corporation (the “Company”) common stock, including 1,000,000 shares sold by selling shareholders, the Company granted Merrill Lynch, Pierce, Fenner & Smith Incorporated (the "Underwriter") a 30-day option to purchase up to an additional 750,000 shares of common stock to cover over-allotments.  The Underwriter exercised its option and purchased an additional 575,000 shares of the Company’s common stock for $10,139,608 in proceeds to the Company.  There were no additional sales of shares by selling shareholders.  The sale of the option shares closed on November 30, 2010.
