| 1 | We have acted as special counsel to the Company in connection with the offering by the Company of the Notes, pursuant to the Registration Statement on Form S-3 (the “Registration Statement”) (File No. 333-168310) filed with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933 (the “Securities Act”). The Notes are to be issued under the indenture dated March 18, 2008 (the “Original Indenture”) between the Company and The Bank of New York Trust Company, N.A., as trustee (the “Trustee”), as supplemented by the supplemental indenture dated as of November 12, 2010 (the “Supplemental Indenture” and, together with the Original Indenture, the “Indenture”). |

Bost II, Senior Vice President and General Counsel of the Company, and our opinions expressed herein, insofar as they may be affected by matters of the law of the Commonwealth of Pennsylvania, are subject to the same assumptions, qualifications and limitations with respect to such matters as are contained in such opinion. |

| and legally binding obligations of the Company, enforceable in accordance with their terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganisation, moratorium or similar laws of general applicability relating to or affecting creditors’ rights and to general equity principles. |
