Item 8.01. Other Events.
On November 5, 2010, GAMCO Investors, Inc.’s Board of Directors approved a special dividend of $0.80 per share in cash and $3.20 of principal per share in the form of a debenture. The debenture is expected to be a five-year, zero coupon bond. This special dividend will be declared and paid in 2010. Further details will be announced in the future. The Board also declared a regular dividend of $0.03 per share to all of its Class A and Class B shareholders, payable on December 28, 2010 to shareholders of record on December 14, 2010.
