Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers: Compensatory Arrangements of Certain Officers.

PSB Holdings, Inc. announced that, at its meeting on October 19, 2010, the company’s board of directors had increased the size of the board to twelve and appointed Kevin J. Kraft as a director effective at the January 2011 board meeting.  Mr. Kraft will also serve as a director of the company’s wholly-owned subsidiary, Peoples State Bank, and he will serve as a member of the company’s audit committee.

Mr. Kraft, 33, is the Chief Operating Officer and Chief Financial Officer of Jarp Industries, Inc., a closely-held manufacturing firm located in Schofield, Wisconsin, that manufactures hydraulic cylinders and related products.
