SECTION 5 – CORPORATE GOVERNANCE AND MANAGEMENT

Item 5.02      Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.


On October 20, 2010, Francis Zubrowski was appointed to the board of directors as Director, and as President and Secretary of the Company.   As well, Robert L. Hamilton resigned from his position as an Officer and Director of the Company on October 20, 2010.  Mr. Zubrowski’s appointment as an officer was effective immediately.
