Item 2.02.
Results of Operations and Financial Condition.
On October 20, 2010, Marshall & Ilsley Corporation (the “Corporation”) issued a press release announcing its results of operations for the third quarter ended September 30, 2010. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
In addition, a copy of the supplemental financial data referenced in the earnings release is attached hereto as Exhibit 99.2.

Other Events.
On October 20, 2010, the Corporation announced certain organizational changes at the Corporation and at its subsidiary, M&I Marshall & Ilsley Bank. A copy of the press release issued with respect to such changes is attached hereto as Exhibit 99.3 and is incorporated herein by reference.
