Entry into a Material Definitive
Agreement.
|
On August
26 and 27, 2010, the Registrant entered into two Post Production Service
Agreements. The first is with Brain/Storm Pictures for the Registrant
to provide, as contractor; all post production services for a documentary film,
including, among other things, editing, creation and rendering of effects,
digital composting mastering and deliverable outputs of the finished
documentary. The total consideration for the services to be performed
is $170,000 and the services are scheduled to commence the second week of
October. The second contract is with 33 Ocean Ave Films which is
developing and preparing for production a cable television series currently
titled “Based on a True story” consisting of thirteen one hour
episodes. The total consideration for the services to be performed by
the Registrant for all thirteen episodes is $1,690,000. The services
to be provided by the Registrant, as contractor, are all post production
services for each episode including, among other things, editing, creation and
rendering of effects, digital compositing mastering and deliverable outputs of
the finished episodes. The customer intends to begin delivery of the “production
elements” to Registrant no later than January 17, 2011.
