Amendments
to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code
of Ethics

On August 26, 2010, the Board of
Directors approved an amendment to the Company's Code of Business Conduct and
Ethics (the "Code") to provide additional and clarifying language regarding
investments in the Company’s business partners, conflicts of interest, close
personal relationships and other non-substantive amendments. A copy
of the revised Code is available at the Company's website at http://www.royalgold.com.
