Item 1.01 Entry into a Material Definitive Agreement
On August 16, 2010, we entered into a Memorandum of Understanding (“MoU”) Agreement with Innova Bilisim Cozumleri A.S. (“Innova”). The MoU provides that Innova and Portlogic Systems Inc. (“Portlogic”) will cooperate with respect to the marketing and licensing of Innova’s Payflex and Ki Payment software and hardware solutions within the Territory, defined as the Caribbean. Portlogic will act as a distributor of Payflex and Ki Payment software within the Territory, and promote, advertise, and demonstrate Innova products. Portlogic may be licensed to present to other regions on a non-exclusive basis. The parties agree to execute a Main Agreement which outlines final specifications and commercial terms of licensing. This MoU shall automatically terminate (i) after a term of 1 year, if the Main Agreement is not executed until this date, provided that the Parties may by mutual agreement extend the tenure of this MoU for an additional term or (ii) on the date the Main Agreement is executed, whichever is the earlier.
