May 18, 2010, the Board of Directors of Peet’s Coffee & Tea, Inc. (the
“Company”) approved the amendment and restatement of the Company’s Change
of Control Option Acceleration Plan in order to incorporate restricted stock and
restricted stock units, including changing the name of the plan to the Change of
Control Stock Award Acceleration Plan.
