ITEM 7.01 REGULATION FD DISCLOSURE.

     On June 14, 2010, Farmers National Banc Corp. (the “Corporation”) issued a press release announcing the cancellation of its Special Meeting of Shareholders scheduled for June 17, 2010 and has ceased soliciting proxies pursuant to its definitive proxy statement (filed with the Securities and Exchange Commission on May 12, 2010) to vote on proposed amendments to the Corporation’s Articles of Incorporation and Code of Regulations, and to approve and adopt the 2010 Replacement Equity Plan. A copy of the press release is attached as Exhibit 99.1 hereto and incorporate by reference herein.
