Item 1.01 Entry into a Material Definitive Agreement.

Effective June 11, 2010, Brush Engineered Materials Inc. (the "Company") and certain of its subsidiaries entered into an amendment (the "Amendment") to the Consignment Agreement with Canadian Imperial Bank of Commerce (the "Consignment Agreement") and CIBC World Markets Inc. The Amendment, among other things, combines the previous $25 million consignment limit with respect to gold with the previous $25 million consignment limit with respect to copper, establishing a single, integrated $50 million consignment limit, subject to quantity limitations for each type of metal. In addition, the Amendment adds silver as a type of metal eligible for consignment under the Consignment Agreement.
