Item 1.01. Entry into a Material Definitive Agreement.

On June 13, 2009, Adept Technology, Inc. ("Adept" or the "Company"), entered into an Agreement and Plan of Merger (the "Merger Agreement") to acquire MobileRobots Inc. ("MRI") Pursuant to the terms and subject to the conditions set forth in the Merger Agreement, the merger consideration payable to MRI stockholders is cash and stock consideration, including cash of $1,000,000, minus (a) certain transaction expenses incurred by MRI in connection with the Merger and (b) outstanding indebtedness of MRI, and plus/minus (c) the amount by which the MRI net working capital exceeds/is less than a target working capital amount. Upon Closing, Adept will also issue 763,359 shares of its common stock in the Merger, 75% of which will be restricted stock subject to the continued employment of the employee stockholders with a third of the restricted stock vesting annually over 3 years, subject to certain forfeiture and acceleration provisions and subject to an escrow arrangement to secure the MRI stockholder indemnity obligations. At the closing of the Merger, Adept will deduct from the total merger consideration and deposit into an escrow fund 203,562 shares of Adept common stock from the total issued to the MRI stockholders to satisfy indemnification claims Adept may have under the Merger Agreement for an eighteen month period. Adept has also agreed to pay bonus amounts up to a maximum aggregate amount of $320,000 to employees of MRI after fiscal 2011 if certain MRI product revenue targets are met for fiscal 2011.

The Merger Agreement is subject to customary closing conditions and may be terminated by either Adept or MRI upon the occurrence of certain events, including if the Merger has not closed by June 30, 2010. The Merger is expected to close in late June 2010.

In connection with and as inducement to Adept to enter into the Merger Agreement, certain shareholders of MRI have entered into non-competition and non-solicitation agreements and certain employees of MRI have entered into employment agreements with Adept, which are effective upon consummation of the Merger.

The foregoing description of the Merger Agreement is qualified in its entirety by reference to the full text of the Merger Agreement, which Adept will file as an exhibit to a periodic report filed under the Securities Exchange Act of 1934, as amended. The Merger Agreement contains representations and warranties made by Adept and MRI.
