Events.

On June
8, 2010, XsunX, Inc., a Colorado corporation (the “Company”) released a
letter to shareholders providing information related to a government grant XsunX
intends to apply for in response to a recent Funding Opportunity Announcement
(FOA) from the U.S. Department of Energy (DOE). The Company believes that it's
technology development efforts associated with the combination of cross-industry
specialties for the manufacture of CIGS solar cells may closely fit
the FOA's overall scope that states as a goal to "identify and accelerate the
development of cross-cutting and unique products or processes that are expected
to have a disruptive impact on the photovoltaics (PV) industry." A copy of the
Shareholder Newsletter is attached hereto as Exhibit 99.1 and is
hereby incorporated by reference into this Item 8.01.
