American Campus Communities, Inc. Announces At-the-Market Equity Program
AUSTIN, Texas — May 19, 2010 — American Campus Communities Inc. (NYSE:ACC), one of the nation’s largest developers, owners and managers of high-quality student housing properties, today announced it has created an at-the-market equity program under which it may sell common stock with an aggregate offering price of up to $150 million from time to time through BofA Merrill Lynch, J.P. Morgan Securities Inc. and KeyBanc Capital Markets Inc., as sales agents and/or principals.
Sales of common stock under the at-the-market equity program, if any, would be made by means of ordinary brokers’ transactions, including on the New York Stock Exchange, at market prices or as otherwise agreed with the agents. The company intends to use the proceeds from any sales for working capital and general corporate purposes, including, without limitation, the acquisition or development of student housing properties (including possible joint ventures or portfolio or asset acquisitions) as suitable opportunities arise, and the reduction of debt.
