ITEM 2.02  RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On May 7, 2010 CNB Corporation mailed to shareholders its quarterly shareholder financial report which discloses the results of operations of the Company for the three months ended March 31, 2010 and March 31, 2009 and the financial condition of the Company as of March 31, 2010 and March 31, 2009.

The financial report is attached hereto as Exhibit 99.
