Item 2.02 Results of Operations and Financial Condition.

On April 23, 2010, Matrix Service Company (the “Company”) issued a press release announcing non-routine charges that will be taken in the third fiscal quarter of 2010 and updated earnings guidance for the fiscal year ending June 30, 2010. The full text of the press release is attached as Exhibit 99 to this Current Report on Form 8-K.
