Item 8.01.  Other Events.


On March 31, 2010, American General Finance Corporation (“AGFC”) commenced a marketing process for a proposed $2.0 billion secured term loan facility (the “Facility”). AGFC anticipates that the borrower under the Facility will be a newly formed, wholly-owned special purpose subsidiary of AGFC, and that the Facility would be guaranteed by AGFC and certain of its operating subsidiaries, and secured to the extent permitted under AGFC’s existing debt agreements. AGFC intends to use the proceeds to repay existing debt and fund its lending activities.


Completion of the Facility is subject to, among other things, successful marketing of the Facility and the negotiation and execution of definitive documentation. No assurance can be given that the Facility will be completed, and if completed, on what terms.
