Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
At its meeting on March 24, 2010, the board of directors of Frontier Financial Corporation (the “Corporation”) amended section 2.1 of the Corporation’s 2003 restated bylaws regarding the annual meeting of shareholders to provide that “the annual meeting of shareholders shall be held in the calendar year immediately
following the prior fiscal year-end.” The previous version of this bylaw provided that the meeting would be held within 120 days after the end of the Corporation’s fiscal year.
The full text of the Amendment is attached as Exhibit 99.1 to this Report on Form 8-K and is incorporated herein by reference.
