Item 7.01 Regulation FD
On March 19, 2010, American Axle & Manufacturing Holdings, Inc. (AAM), issued a press release announcing that Richard E. Dauch, Co-Founder, Chairman and Chief Executive Officer, has established a Rule 10b5-1 stock trading plan to sell a portion of his holdings of AXL common stock, as part of a personal financial planning strategy related to asset diversification and estate planning. The trading plan was established by Mr. R. E. Dauch in accordance with guidelines specified under Rule 10b5-1 of the Securities Exchange Act, as amended, and AAM’s policies regarding insider transactions in AXL common stock.
The press release is furnished as Exhibit 99.1 to this Form 8-K.
