On March
10, 2010, Neil McDermott, a resident of Ireland, resigned as a director of Money4Gold
Holdings, Inc. to
pursue other interests.
In
addition, on March 10, 2010, Money4Gold increased the aggregate number of shares
of common stock which may be issued pursuant to the 2008 Equity Incentive Plan
from 8,000,000 to 27,000,000.
